Cursive Terms of Service
Effective date: August 27, 2026
These Cursive Terms of Service (these "Terms") are a binding agreement between Tide Medical LLC, a Wyoming limited liability company doing business as Cursive Health ("Cursive," "we," "us," or "our"), and each individual who accesses or uses the Cursive wound-care documentation application and related services (the "Services"). If an individual uses the Services on behalf of a healthcare organization, that individual represents that they are authorized to do so and that organization is a "Customer" for purposes of these Terms.
Use of the Services is also subject to the Cursive Privacy Policy, available at https://cursive.health/privacy.
1. Definitions and Scope
1.1 Services
"Services" means Cursive's wound-care documentation application and related services made available by Cursive.
1.2 Customer and Authorized User
"Customer" means the healthcare organization that has entered into an agreement with Cursive for the Services. "Authorized User" means a licensed healthcare professional or authorized staff member whom Customer permits to use the Services.
1.3 Documentation Tool; No Clinical Advice
Cursive is a documentation tool. The Services allow clinical users to document wounds, record assessments and measurements, capture wound photographs, and review a patient's wound history over time. The Services do not provide medical advice, diagnosis, or treatment recommendations, and do not replace the professional judgment of a licensed clinician.
2. Eligibility, Accounts, and Access
2.1 Eligibility
An individual may use the Services only if that individual: (a) is an Authorized User; and (b) is at least 18 years old.
2.2 Individual Accounts
Accounts are individual. An Authorized User must keep sign-in credentials confidential and is responsible for activity under that individual's account. Sharing an account with another person is not permitted.
2.3 Customer Authorization
Each Authorized User is responsible for using the Services only within the authority granted by Customer, applicable professional obligations, and applicable law.
3. Customer Agreement and Business Associate Relationship
3.1 Customer Agreement Controls
The Services are provided to Customer under a services agreement, which includes a Business Associate Agreement ("BAA") as required by the Health Insurance Portability and Accountability Act ("HIPAA"). If these Terms conflict with Customer's agreement with Cursive, Customer's agreement controls.
3.2 Protected Health Information
Patient information entered into the Services is Protected Health Information ("PHI"). Cursive handles PHI as a business associate of Customer under HIPAA and the BAA. Authorized Users may enter and access PHI only as permitted by Customer, their professional obligations, and applicable law.
4. Acceptable Use
4.1 Permitted Use
Authorized Users may use the Services solely for clinical documentation for Customer.
4.2 Restrictions
An Authorized User must not:
a. access records without a treatment-related or other authorized reason to do so;
b. attempt to probe, disrupt, or gain unauthorized access to the Services;
c. upload malicious code;
d. copy, scrape, resell, or reverse-engineer the Services; or
e. misrepresent identity or credentials.
5. Intellectual Property
5.1 Cursive Property
Cursive and its licensors own all right, title, and interest in and to the Services, including the software, design, and trademarks.
5.2 Limited License
Subject to these Terms and Customer's agreement with Cursive, Cursive grants each Authorized User a limited, non-exclusive, non-transferable, revocable license to use the Services solely as permitted by these Terms and Customer's agreement with Cursive. No other rights are granted.
5.3 Feedback
Cursive may use feedback and suggestions about the Services without restriction or obligation.
6. Clinical Record
6.1 Append-Only Record
Cursive maintains an append-only clinical record: saved assessments are never silently altered or erased. Corrections create new versions, and prior versions remain viewable with a history of who changed what and when.
6.2 Documentation Responsibility
Each Authorized User is responsible for the accuracy of that individual's documentation.
7. Text Messages (SMS)
Cursive can send text messages for account verification and sign-in security codes. By providing your mobile number and opting in, you consent to receive these messages. Message frequency varies based on your account activity (for example, one message per sign-in verification). Message and data rates may apply. Reply STOP at any time to cancel and receive no further messages, or HELP for help. Consent to receive text messages is not a condition of any purchase. Carriers are not liable for delayed or undelivered messages. Mobile numbers and text-message opt-in information are never shared with third parties or affiliates for marketing purposes.
8. Service Changes and Availability
8.1 Availability
We work to keep Cursive available and improve it continuously, but do not guarantee uninterrupted availability.
8.2 Changes
We may add, change, or remove features. If we make a change that materially reduces the Services Customer pays for, Customer's agreement with Cursive governs Customer's remedies.
9. Suspension and Termination
9.1 Suspension or Termination of Access
Customer or Cursive may suspend or end an Authorized User's access, including when the Authorized User leaves Customer, when required for security, or when these Terms are violated.
9.2 Clinical Records
Clinical records remain governed by Customer's agreement with Cursive and applicable law. Ending an Authorized User's access does not delete the clinical record.
10. Disclaimers and Limitation of Liability
10.1 Warranty Disclaimer
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" TO THE MAXIMUM EXTENT PERMITTED BY LAW. CURSIVE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CURSIVE DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.
10.2 Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, CURSIVE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES. CURSIVE'S TOTAL LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS IS LIMITED AS SET OUT IN CUSTOMER'S AGREEMENT WITH CURSIVE. NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED BY LAW.
10.3 Clinical Decisions
Clinical decisions remain the sole responsibility of the treating clinician and Customer.
11. Changes to These Terms
We may update these Terms. If we make material changes, we will post the updated Terms at this page with a new effective date and give notice through the application or to Customer. Continued use after the effective date constitutes acceptance.
12. Assignment
12.1 Cursive Assignment
Cursive may assign these Terms, and the agreements they accompany, to a successor entity—for example, an affiliate formed to operate the Cursive Health business—upon notice and without requiring new signatures, provided the successor assumes Cursive's obligations, including under any BAA.
12.2 Authorized User Assignment
An Authorized User may not assign an account.
13. Governing Law and Dispute Resolution
13.1 Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules, except where Customer's agreement with Cursive specifies otherwise.
13.2 Binding Arbitration
Except as provided in Section 13.4, any dispute, claim, or controversy arising out of or relating to these Terms or the Services that is not governed by Customer's agreement with Cursive will be resolved by final and binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules. The arbitration will be seated in Fort Worth, Texas, before one neutral arbitrator, and conducted in English. The arbitrator's award will be final and may be entered as a judgment in any court of competent jurisdiction. Each party waives any right to a jury trial for a dispute subject to arbitration.
13.3 Individual Basis; Class-Action Waiver
Any arbitration must be conducted solely on an individual basis. Neither party may bring, participate in, or seek to resolve any claim as a plaintiff, claimant, or class member in a class, collective, consolidated, private-attorney-general, or representative action. The arbitrator may award relief only in favor of the individual party seeking relief and only to the extent necessary to provide relief warranted by that party's individual claim.
13.4 Limited Carve-Outs
Either party may bring an individual claim in small-claims court if it qualifies. Either party also may seek temporary, preliminary, or permanent injunctive relief in the state courts located in Tarrant County, Texas, or the United States District Court for the Northern District of Texas, to protect intellectual-property rights, security, or against unauthorized access to the Services. These limited court proceedings do not waive either party's right to require arbitration of all other covered disputes.
14. Notices
14.1 Notices to Authorized Users and Customers
Cursive may provide notices under these Terms through the Services or to Customer. Notices to Cursive must be sent to the contact information in Section 17.
15. Force Majeure
Cursive is not responsible for delay or failure to perform caused by circumstances beyond its reasonable control, including natural disasters, acts of government, labor disputes, telecommunications or internet failures, cybersecurity incidents, or failures of third-party service providers.
16. General
16.1 Severability
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permitted and the remaining provisions will remain in effect.
16.2 Waiver
A waiver is effective only if it is in writing. A failure to enforce any provision is not a waiver of that provision.
16.3 Entire Agreement
These Terms, together with Customer's agreement with Cursive where applicable, are the entire agreement concerning an Authorized User's access to and use of the Services and supersede prior or contemporaneous understandings concerning that subject matter.
